Please read these Terms and Conditions carefully before using the Service.

Interpretation and Definitions

For the purposes of these Terms:

Acknowledgment

These Terms form a binding agreement between You and the Company. By accessing or using the Service, including submitting Content to a Muse Live queue without an Account, You agree to be bound by these Terms.

You represent that You are at least 18 years old and legally able to enter into these Terms where You live.

Your use of the Service is also subject to our Privacy Policy.

User Accounts

You must provide accurate and complete information when creating an Account.

You are responsible for safeguarding your Account credentials and for all activity under your Account.

We may suspend or terminate Accounts that violate these Terms.

Subscriptions and Payments

Certain features require paid subscriptions or one-time payments.

By making a purchase, You authorize charges through our third-party payment processors.

Subscriptions renew automatically unless canceled before renewal.

You may request a refund within fourteen (14) days of your initial subscription purchase. Refund eligibility applies only to first-time purchases and does not apply to renewals unless required by law. Refund requests must be submitted to support@musesessions.co.

After fourteen (14) days, subscription payments are non-refundable except where required by law.

We may change pricing from time to time. We will provide any notice required by law before a price change takes effect.

Failure to pay may result in suspension or termination.

Muse Live Queues, Paid Priority, and Tips

Muse Live allows Creators to receive submissions from their audience, such as songs, videos, questions, files, and messages. Creators may offer free submissions or paid priority options at different levels.

Paid priority gives a submission priority relative to lower-priority or free submissions according to the Creator's queue settings. It does not guarantee a specific position, a specific review time, that other paid submissions will not move ahead of You, how long a Creator will remain live, or that the Creator will review or respond to a submission.

Creators are responsible for operating their queues and fulfilling what they offer to their audiences. The Company provides the platform and does not control how long a Creator streams or guarantee a Creator's performance.

Payments for queue priority are final. If a paid submission is never reviewed and the Creator is no longer going live, the Company or the Creator may choose to issue a refund or credit. The Company may also issue refunds where required by law or to address fraud or payment disputes.

Tips are voluntary, generally non-refundable except where required by law, and do not entitle the sender to any product, service, or response. Tips do not affect queue position or submission review. Creators may not offer queue priority, queue placement, or submission review in exchange for tips; paid priority is available only through the queue priority features offered on the Service.

Products and Services Sold by Creators

Creators may sell products or services through the Service, such as merchandise, digital goods, beats, sessions, or reviews. Creators are responsible for the products and services they offer through the Service. The Company provides the platform and payment infrastructure.

Creators are responsible for accurately describing what they sell, pricing, delivery, fulfillment and shipping, returns and refund policies for their products, related customer service, compliance with applicable law, and taxes on their sales, except taxes the Company is required by law to collect or remit.

Information needed to fulfill a purchase, such as a name, email address, or shipping address, may be provided to the Creator. Creators may use customer and submission information they receive through the Service only as permitted by law.

The Company may assist with disputes and may issue refunds or credits where appropriate or required by law.

Creator Payouts

Creator payments and payouts are processed through third-party payment processors. Creators authorize the Company to deduct or recover refunds, chargebacks, payment disputes, fraud losses, processing fees, and other amounts owed to the Company from current or future payouts where permitted by law. If available funds are insufficient, the Company may delay payouts or seek repayment. Creators are responsible for providing accurate payout and tax information.

Content and User Rights

Ownership

You retain ownership of Your Content. The Company does not claim ownership of Your music or creative works.

License to Provide the Service

By uploading, posting, streaming, or submitting Content, You grant the Company a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, publicly perform, publicly display, and reproduce such Content solely as necessary to operate, provide, and maintain the Service.

This includes transmitting streams to viewers, enabling participation in sessions, storing cloud recordings where enabled, and maintaining backups.

The Company does not acquire ownership of Your Content and will not use Your Content outside the Service except as expressly permitted in these Terms.

Queue Submissions and Clips

By submitting Content to a Muse Live queue, You authorize the Company to store the submission, make it available to the Creator hosting the queue, and allow that Creator to access or download an uploaded file in order to review or play it. If a submission is played during a livestream, it may become part of that livestream, its recording, and clips created from the livestream.

The Company may create and store clips from livestreams and recordings. Depending on the features enabled, clips may be made available to the Creator, the person who submitted the Content, or viewers. These permissions exist so the queue, recording, and clipping features can work; they do not transfer ownership of submitted Content to the Company or to the Creator.

Creators are responsible for ensuring they have the rights needed to publish or distribute a clip outside the Service.

If Your submission is played during a public livestream, You also allow the portion that appears in the livestream to appear in short promotional clips or excerpts of that livestream. This does not permit the Company to use Your submitted work separately from the livestream.

Public Livestream Promotional License

If You host or participate in a public livestream, You grant the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, publicly display, and create short clips or excerpts of that public livestream for the limited purpose of promoting and marketing the Service.

This may include use on the Service, Company websites, and Company social media and marketing channels.

The Company will not commercially exploit public livestream recordings outside promotional use, and this license does not permit the Company to distribute or license a submitted song, recording, or other work as a standalone work unrelated to the livestream.

This promotional license applies only to public livestreams and does not apply to private sessions.

File Distribution Within Sessions

By uploading files within chat or sessions, You authorize the Company to transmit and make those files available to session participants as part of the Service functionality.

Responsibility

You represent that You own or have the necessary rights to upload and stream the Content and that it does not infringe any third-party rights.

Content Restrictions

You may not upload or transmit unlawful, infringing, defamatory, abusive, harassing, or otherwise objectionable Content.

We may remove Content and suspend Accounts at our discretion.

Copyright and DMCA

We respect intellectual property rights and comply with the DMCA.

To submit a copyright claim, contact our designated Copyright Agent with the required information under 17 U.S.C. § 512(c)(3): Copyright Agent, Muse App Inc, 9854 National Blvd #1316, Los Angeles, CA 90034, United States, legal@musesessions.co.

We may remove allegedly infringing Content and terminate repeat infringers.

Guest Access

Certain features may be accessible without an Account. Guests are bound by these Terms.

We may restrict or revoke guest access at any time.

Third-Party Platforms

The Service may allow Creators to connect with or use the Service alongside third-party platforms such as Twitch, YouTube, TikTok, Instagram, or Kick. Your use of a third-party platform is governed by that platform's own terms and policies. The Company is not responsible for the availability, operation, moderation decisions, or policies of third-party platforms.

No Guarantee of Collaboration Outcomes

The Service enables collaboration and livestream participation. The Company is not responsible for agreements, credit splits, payments, or disputes between users, including between Creators and their audiences.

Service Availability

The Service is provided "as is" and "as available." To the maximum extent permitted by law, the Company does not warrant that the Service will be uninterrupted, error-free, or secure, and disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Content Backups

We do not guarantee that Content will not be lost or corrupted. You are responsible for maintaining independent backups.

Intellectual Property

The Service and its original content (excluding user Content) remain the exclusive property of the Company and its licensors.

Indemnification

To the extent permitted by law, You agree to indemnify and hold the Company harmless from third-party claims arising from Your Content, Your violation of these Terms, or Your violation of another person's rights or applicable law. Creators also agree to indemnify the Company for third-party claims arising from products or services they sell through the Service.

Termination

We may suspend or terminate Your Account if You violate these Terms.

Upon termination, Your right to use the Service ceases immediately. Provisions that by their nature should survive termination, including ownership, payment obligations, limitation of liability, and dispute resolution, remain in effect.

Limitation of Liability

To the maximum extent permitted by law, the Company's total liability shall not exceed the greater of:

The Company shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.

Binding Arbitration and Class Action Waiver

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration in the State of California, rather than in court.

You and the Company agree that disputes will be resolved on an individual basis and not as part of any class, consolidated, or representative action.

You waive the right to a jury trial.

Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Changes to These Terms

We may update these Terms from time to time. If a change materially affects your rights or obligations, we will provide additional notice where appropriate or required by law. Continued use of the Service after updated Terms take effect constitutes acceptance to the extent permitted by law.
